By accessing or using our website, platform, or services at odinseyeenterprises.com (the "Platform"), you agree to be bound by these Terms of Service ("Terms").

1. Definitions

• "Services" — AI automation consulting, managed AI agent services, and related offerings
• "User," "you," or "your" — Any individual or entity accessing the Platform or purchasing Services
• "Content" — Any text, data, files, or materials uploaded to or generated through the Platform

2. Eligibility

You must be at least 18 years old and have legal authority to enter into these Terms.

3. Account Registration

If you create an account, you agree to provide accurate information, keep credentials confidential, notify us of unauthorized access, and accept responsibility for all activity under your account.

4. Services and Availability

OEE provides AI agent installation, configuration, maintenance, consulting, and managed services. The Platform and Services are provided on an "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Services at any time. Our Services may rely on third-party AI models, APIs, and cloud infrastructure.

5. Acceptable Use

You agree NOT to:

• Use the Services for any illegal, fraudulent, or harmful purpose
• Reverse-engineer, decompile, or extract source code from our tools
• Use the Services to develop competing products
• Interfere with or disrupt the Platform's infrastructure
• Upload malicious code or harmful content
• Resell or redistribute the Services without written permission
• Use AI agents to generate content that violates applicable laws

6. Payment Terms

Payments are processed via Stripe. Monthly retainers are billed in advance. Prices are exclusive of applicable taxes.

7. Refund Policy

• Setup Fees: Non-refundable once work has commenced
• Monthly Retainers: Prorated refund for unused portion of current billing period
• Service Packs: Non-refundable once work has commenced

8. Intellectual Property

All tools, frameworks, methodologies, and code used or created by OEE remain OEE property. Upon full payment, you receive a non-exclusive, non-transferable license for deliverables created for you. You retain ownership of your data and content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OEE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. AI SYSTEMS MAY PRODUCE INACCURATE RESULTS — OEE IS NOT LIABLE FOR DECISIONS BASED ON AI OUTPUTS.

10. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

11. Indemnification

You agree to indemnify and hold harmless OEE from claims arising from your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate access for violation of these Terms or with 30 days' notice. You may stop using the Platform at any time.

13. Governing Law

These Terms are governed by the laws of the State of Illinois. Disputes shall be resolved in state or federal courts in Kane County, Illinois.
